This online User Agreement (Terms of Services) explains the terms and conditions applicable to your use of our services available in Second Life and on http://www.slbounty.com. Please read it carefully and contact us if you have any questions.

Your consent
You must read, agree with and accept all of the terms and conditions contained in this User Agreement, which includes those terms and conditions expressly set out below and those incorporated by reference, before you may become a User of the Site

Definitions

References on this Site, in our Privacy Policy, and this User Agreement to:

Content

mean any text, software, database, format, graphic and written work and all other materials (i) developed by, or on behalf of, us which form part of this Site; and/or (ii) provided on or through this Site with the permission of the third party owners.

we or us or our

means Tawny Lion Limited trading as SLBounty.

you or your

mean a user of this website or any SLBounty owned artifacts, within Second Life.

SLBounty

SLBounty is a Second Life group, consisting of Second Life users. SLBounty also refers to the service provided by SLBounty via this Site and in Second Life.

Second Life

Second Life® and Linden Lab® are registered trademarks of Linden Research, Inc.

Requester

Any user of SLBounty who wants custom Second Life work done and has created a New Job Request. Any user of SLBounty can also be a Supplier, but not to any Job Requests they've created.

Supplier

Any user of SLBounty who can supply custom Second Life work and has submitted a tender for an existing Job Request.

Site

The website which consists of the domain www.slbounty.com and all of its sub-domains

Amendments

We may amend this User Agreement at any time by giving you notice by e-mail or by posting the amended User Agreement on the Site. Any amended User Agreement will govern new user registrations from the date that it is posted on the Site. Existing Users will be bound by the amended User Agreement after the expiry of 30 days following the date of a Notice. No other amendment to this User Agreement will be effective.

Access to this Site

This Site is provided by SLBounty, a Second Life group.

By Accessing this Site, you agree that you will:

• access its contents solely for your own private use.
• behave in a friendly, helpful and cohesive manner.
• comply with all reasonable instructions we give you relating to this Site.
• comply with all applicable laws and regulatory requirements relating to your use of this Site
• not attempt to gain access to any other user's Account or password.
• not cause the site to be interrupted, damaged, rendered less efficient or such that the effectiveness or functionality of the Site is in any way impaired.
• not create liability of us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers.

You are responsible for all telecommunications charges relating to your use of this Site.

Material Provided by you

You agree to ensure that all material you send or upload to this Site (including, but not limited to, e-mails, text, graphic files, still or moving images, or responses to any questionnaire available through this Site) (Your Material) is:

• legal, decent and truthful,
• complies with all laws and regulations,
• does not infringe the Intellectual Property Rights or other rights of us or any third party,
• is not defamatory, unreliable or misleading or otherwise objectionable (obscene, indecent or contains child pornography) and
• is free of bugs, worms or viruses.

You agree not to send or upload any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation

You agree not to publish any information or personal data relating to a third party.

You are solely responsible for Your Material. If we consider that any part of Your Material exposes us to the risk of a claim or complaint by a third party, we may block access to all or part of this Site and remove all or part of Your Material. You must provide all reasonable assistance in this respect.

Licence

To enable SLBounty to use Your Material, you grant us a non-exclusive, world-wide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) licence to exercise the copyright, trade mark, publicity, and database rights you have in Your Material, in any media now known or not currently known. You also waive all moral rights you have in Your Material to the fullest extent permitted by law.

Breach

Without limiting our other remedies, we may limit your activity on the Site, immediately issue a warning, suspend or terminate your user registration or any of your job listings or tenders and refuse to provide our services to you without notice to you:

• if you breach this agreement or the documents incorporated by reference
• if, despite our reasonable endeavors, we are unable to verify or authenticate any information you provide to us, or
• if we believe that your actions may cause us financial loss or legal liability.

Manipulation

You must not manipulate the tenders for any item or interfere with other User's job requests. Without limitation, you must not tender where you are the Requester, or procure or encourage any person to do so on your behalf.

Eligibility for membership to SLBounty.

You will need a Second Life User Account to become a member of SLBounty. This means that our services are not available to, and may not be used by, persons under the age of 18 years. In addition to this, you may not use this site if your membership has been temporarily or indefinitely suspended.

Your SLBounty user ID

Your SLBounty user ID will match your Second Life ID. You will be assigned a random password during registration and given the opportunity to change it when you first login. Please do not use your Second Life password! SLBounty provides a service to Second Life users, which is not possible without this requirement.

You are responsible for all actions on this site using your SLBounty User ID and password. You must make every effort to keep your password safe and should not disclose it to any other person.

We Value Your Privacy!

The SLBounty service

SLBounty facilitates agreements between Second Life users wanting custom work provided (Requesters) and those wishing to provide custom work (Suppliers). SLBounty enables requesters to specify what they want done, how much they are willing to pay for it and how long to advertise it for. Suppliers tender for these jobs, providing details of what they are willing to provide, at what price and when.

Requesters review the tenders for any jobs they've created and, working with the suppliers of the tenders, agree a price, delivery date and acceptance criteria. We also provide a User ID feedback system (see below) to help Requesters and Suppliers evaluate prospective partners.

An agreement is established when a Requester accepts a Supplier's tender, and pays our non-refundable facilitation fee. The fee is payable by the Requester in Linden Dollars in Second Life when the Requester accepts a Supplier's tender.

We can not and will not be responsible for ensuring that Requesters or Suppliers actually honour any agreements they may make. We do not review job requests, we never possess any of the custom goods created, and will not arbitrate disagreements between users. As a result, we have no control over the quality or legality of the goods supplied or requested, the ability of Suppliers to create goods or the ability or Requesters to pay for goods.

You also accept sole responsibility for the legality of your actions under laws applying to you.

Our User ID feedback system

Requesters and Suppliers will have the opportunity to provide feedback on each other when an agreement reaches its end. This feedback system should provide a reliable, trustworthy means for users of SLBounty to evaluate prospective partners.

With this in mind, you must not take any actions that may undermine the integrity of the feedback system. We may limit the number of job requests and tenders you may place on the site, and your other activities on the Site based upon the level of your feedback.

If you have an overall negative feedback rating, we may suspend your membership (User ID), either temporarily or indefinitely. Feedback ratings are not designed for any purpose other than for facilitating agreements on SLBounty and may not be referenced or used in, or by, any other service.

Facilitation Fee

Joining SLBounty, submitting new job requests, and tendering for job requests is free. You will, however, remain responsible for the costs of accessing our site and communicating with our users.

The Requester agrees to the fees for the SLBounty services as disclosed on the site at the time they accept a tender from a Supplier. All fees are payable in Linden Dollars in Second Life at our SLBounty service. Once paid, our fees are non-refundable.

Our fees may change from time to time at our absolute and sole discretion.

Requesters and Job Requests

When you create a New Job Request you assume the role of Requester and you are responsible for:

• completing the New Job Request form as accurately as you can,
• being realistic about your expected rate and timeframes,
• actively engage with any Supplier(s) to reach an agreement, including the acceptance criteria,
• select a suitable tender and pay the facilitation fee promptly, and
• provide feedback on the Supplier.

Suppliers and Job Tenders

When you Tender for a Job you assume the role of Supplier and you are responsible for:

• providing a realistic price and delivery time,
• actively engage with the Requester to reach an agreement, including the acceptance criteria,
• provide your own work,
• meet up with the Requester before the delivery date expires to deliver the goods, and
• provide feedback on the Requester.

Accuracy of User data

We verify that SLBounty users have active Second Life accounts, but do not verify the accuracy of any personal information provided. SLBounty can not and does not confirm the identity of users, or the validity of the information posted by users. Our User ID feedback rating system will help you evaluate the user with whom you are negotiating. We encourage you to communicate with potential Requesters and Suppliers using the tools available on the site.

Information control

We do not control the information provided by other users which is made available through the Site. You may find other user's information to be offensive, harmful, inaccurate, or deceptive. Please use caution, common sense, and be safety conscious when using the Site. Please note that there are also risks of dealing with underage persons or people acting under false pretences. By using this site, you agree to accept such risks and agree that SLBounty is not responsible for the acts or omissions of Users of SLBounty.

User Liability

In the event that you have any right, claim or action against any other User arising from that User's use of the SLBounty, you agree to pursue such right, claim or action independently of and without recourse to us, and you release SLBounty from all claims, liability, damages, losses, costs and expenses, including legal fees, known and unknown, arising from or in any way connected with such right, claim or action.

Intellectual Property Rights

We own all Intellectual Property Rights in the Content and this Site. Nothing in the User Agreement gives you any right, title or interest in the Content or this Site and you do not acquire any such right, title or interest through your use of the Site. If you need third party software to use this Site, you agree to obtain a license of that software at your own expense.

Except as expressly permitted below or by applicable law, you may not copy (except to the extent required in order to use this Site in accordance with the User Agreement), store in any medium (including in any other website), distribute, transmit, re-transmit, broadcast, modify, or otherwise make available or communicate to the public any part of this Site or systematically extract material from this Site or any document available through it or in any other way exploit commercially all or any part of this Site or any document available through it without our prior written permission.

You may print or save one copy of any page of this Site and documents available through it for your own personal use.

We permit electronic links to the home page (www.slbounty.com) of this Site only. You may not provide an electronic link to any other page of this Site without our consent. We reserve the right to request that you remove an electronic link to this Site at any time and you agree to remove such link immediately.

No Warranties

We give no express or implied representation or warranty (whether statutory or otherwise) in respect of this Site or the Content (including, without limitation, as to their condition, satisfactory quality, performance or fitness for purpose) and all such representations and warranties are excluded except to the extent that their exclusion is prohibited by law

Limitations and Exclusions of our Liability

We cannot guarantee that this Site and SLBounty owned artifacts (within Second Life) will operate in accordance with your expectations or will be error free. We are not obliged to update this Site or SLBounty owned artifacts, but we may do so from time to time and we reserve the right to modify, restrict access to or close this Site or remove SLBounty owned artifacts at any time.

From this Site you may be able to access websites operated by others. We do not endorse those other websites nor do we accept responsibility for their content or for any damage or loss you may suffer arising out of accessing those websites. We do not monitor or maintain these links.

We will not be liable for any economic losses (including, without limitation, loss of revenues, profits, contracts, business or anticipated savings), any loss of goodwill or reputation, or any special, indirect or consequential damages (however arising, including negligence) arising out of or in connection with this User Agreement. We, and any other party (whether or not involved in creating, producing, maintaining or delivering this Site), and any of our group companies and the officers, directors, employees, shareholders or agents of any of them, exclude all liability and responsibility for any amount or kind of loss or damage that may result to you or a third party (including without limitation, any direct, indirect, punitive or consequential loss or damages, or any loss of income, profits, goodwill, data, contracts, use of money, or loss or damages arising from or connected in any way to business interruption, and whether in tort (including without limitation negligence), contract or otherwise) in any way or in connection with:

• this Site;
• the use, inability to use or the results of use of this Site;
• your downloading or any material from this Site or any websites linked to the Site; or
• viruses that may infect your computer equipment, software, data or other property on account of your access to, use of, or browsing this Site.

Nothing in this User Agreement shall exclude or limit liability for:

• death or personal injury caused by negligence (as such term is defined by the Unfair Contract Terms Act 1977); or
• fraud; or
• misrepresentation as to a fundamental matter; or
• any liability which cannot be excluded or limited under applicable law.

We also have no liability of any sort (including liability for negligence) for the acts or omissions of other providers of telecommunications services or for faults in or failures of their networks and equipment.

Our liability to you or any third party, and the liability of our SLBounty Second Life group officers and members, in any circumstance is limited to the total fees you have paid to us in relation to the job agreement, which gives rise to the liability.

Indemnity

You agree to indemnify and hold us and (as applicable) our officers or members, harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of this User Agreement (including the documents incorporated by reference), or your violation of any law or the rights of a third party.

Governing Law

This User Agreement shall be governed by and construed in accordance with English law and subject to the exclusive jurisdiction of the English courts.

Please note, that your country (and/or that of any user you deal with) may have laws which apply to your transactions with other Users regardless of what you agree with us (now) or with that User (later).

Miscellaneous Provisions

We reserve the right to amend the User Agreement from time to time. We will notify you of any such amendment by posting the relevant amendment on this Site. Any changes shall take effect upon posting to this Site

Notices to you will be sent to the email address that you provide to SLBounty during the registration process (receipt is deemed 24 hours after an email is sent, unless we receive notice that the email address is invalid).

If any provision of this User Agreement is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall be enforceable.

No agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by this User Agreement.

Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.

Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.

This User Agreement sets forth the entire understanding and agreement between us with respect to its subject matter.

A person who is not a party to this User Agreement has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this User Agreement but this does not affect any right or remedy of a third party specified in this User Agreement or which exists or is available apart from that Act.
